Milky Way Media, LLC – Terms and Conditions

Welcome to Milky Way Media, LLC! By using our services, you agree to the following Terms and Conditions. Please read them carefully.

1. Services Provided
Milky Way Media, LLC offers the following professional services:

A. Video Editing and Post-Production
• Video cutting, trimming, and sequencing
• Motion graphics and visual effects
• Sound design and music integration
• Color correction and grading

B. Marketing Services
• Paid advertising campaign management (Google Ads, YouTube Ads, etc.)
• Campaign strategy and setup
• Ongoing optimization and performance reporting

2. Payment Terms

Video Services
• A 50% deposit is required upfront for projects over $500
• The remaining balance is due upon final delivery
• Payments accepted via PayPal, bank transfer, or other agreed methods

Marketing Services (Google Ads, YouTube Ads, etc.)
• A 20% management commission is charged on the agreed monthly ad spend
- Example: $1,000 ad budget = $200 management fee
• Commission is billed separately and must be paid in advance
• Monthly services are recurring unless canceled in writing

Late payments may result in service delays, suspension, or additional fees.

3. Revisions Policy

Video Projects
• Includes two (2) free revisions within the original scope
• Extra or complex revisions may incur additional charges
• Major changes may require a new agreement

Marketing Campaigns
• Ongoing optimization is included
• Major changes to strategy or platforms may require additional fees

4. Turnaround Time

Video Projects
• Standard delivery: 3–10 business days
• Rush delivery available for an extra fee

Marketing Campaigns
• Setup time: 3–5 business days after all info is received
• Ongoing adjustments made throughout the campaign

5. Client Responsibilities
• Provide all necessary footage, assets, info, and access credentials promptly
• Milky Way Media is not responsible for delays due to missing/low-quality content
• Clients are responsible for funding their ad accounts unless otherwise agreed

6. Ownership & Copyright

Video Projects
• Clients retain ownership of final videos
• Milky Way Media may use completed work in portfolios unless requested otherwise

Marketing Campaigns
• Clients retain ownership of their ad accounts
• Performance data may be used anonymously for case studies

Clients must have the legal rights to all music, footage, or assets submitted.

7. Limitation of Liability
Milky Way Media, LLC is not liable for:
• Data loss or corruption
• Client delays
• Unauthorized use of third-party content
• Ad platform outages, policy changes, or disapprovals

Total liability is limited to the amount paid for the specific service.

8. Cancellations & Refunds
• Deposits are non-refundable once work begins
• Monthly marketing services must be canceled at least 7 days before renewal
• Full refund available only if canceled before any work begins

9. Governing Law
These terms are governed by the laws of the State of North Dakota, USA.
